Terms of Service

These Terms of Service (the "Terms") govern the conditions and procedures for using the IT solution services (the "Service") provided by Serverkit Inc. (the "Company"), and define the rights and obligations between the Company and Members.

Article 1 (Purpose)

These Terms set forth the rights, obligations, and responsibilities of the Company and Members in connection with the use of the Service provided by the Company.

Article 2 (Definitions)

  1. "Member" means a person who has entered into a Service use agreement with the Company.
  2. "Plan" means Service usage billed on a monthly or yearly basis.
  3. "Content" means data, software, documents, and other materials provided by the Company in the course of providing the Service.
  4. "License" means the scope of rights to use the Service selected by the Member under a specific Plan, including features and the amount of monthly base credits provided.
  5. "Credits" means usage units deducted when using certain features such as AI functionality. Credits consist of base credits and additional purchased credits.

Article 3 (Effect and Changes to the Terms)

  1. These Terms take effect when the Member consents to them during Service sign‑up.
  2. The Company may amend these Terms to the extent permitted by applicable laws and regulations, and will notify Members at least seven (7) days in advance of any changes.

Article 4 (Membership and Use)

  1. Membership is obtained by applying through the procedures specified by the Company and receiving approval.
  2. Members must provide their true and accurate information at the time of sign‑up.
  3. If false information is provided, Service use may be restricted.

Article 5 (Service Fees, Credits, and Payment)

  1. The Service is provided on monthly or yearly subscription plans.
  2. Fees are as stated at the time of payment, and the Company may change fees when necessary. When changing fees, the Company will notify existing Members in advance.
  3. Base credits by License are automatically replenished on the regular monthly renewal date.
  4. If credits are fully consumed, access to AI‑powered features may be restricted until credits are replenished.
  5. Members may purchase additional credits in fixed amounts (e.g., USD $10, $20, $50, $100).
  6. Credit consumption order: base credits are consumed first each month; after base credits are exhausted, additional purchased credits are consumed.
  7. Details such as credit applicability and consumption metrics are provided in Service notices, the pricing page, or via support.

Article 6 (Refund Policy)

  1. Monthly Plan: A full refund is available within seven (7) days of payment. If the Service has been used, the amount corresponding to the number of days used may be deducted.
  2. Yearly Plan: A full refund is available within fourteen (14) days of payment. If the Service has been used, the amount corresponding to the number of months used and any applied discounts may be deducted.
  3. Refunds are processed through the original payment method within seven (7) business days.
  4. Additional credits refund: Only the unused balance of additional purchased credits is refundable. The refund amount equals the purchase amount multiplied by the unused credit ratio.
  5. If additional purchased credits are fully used, they are not refundable.
  6. Example: If you purchased $100 for 1,000 credits and used 400, the unused ratio is 600/1,000 and the refund is $60. Refund amounts are rounded to two decimal places in the original payment currency.
  7. Overpayment/duplicate payments: If an overpayment occurs due to a system error or duplicate payment, the full amount is refunded after verification. If the overpayment is due to the Member’s fault, processing fees may be deducted as permitted by law.
  8. Items excluded from refunds may include promotional/free credits, credits expired by validity, and third‑party processing fees or FX differences to the extent permitted by applicable law.

Article 7 (Member Obligations)

  1. Members must comply with applicable laws and these Terms when using the Service.
  2. Members may not transfer or resell the Service to any third party without prior approval from the Company.
  3. Without prior written consent from the Company, Members may not transfer, lend, pledge, or resell Licenses or Credits, nor exchange Credits for cash or other property.
  4. Members must not steal or misuse another person’s account.

Article 8 (Company Obligations)

  1. The Company will make best efforts to provide stable Service.
  2. The Company protects Members’ personal information and handles it safely in accordance with applicable laws.

Article 9 (Service Suspension)

  1. The Company may temporarily suspend the Service in unavoidable circumstances such as system maintenance, technical issues, or force majeure.
  2. In such cases, the Company will notify Members before or after the suspension.

Article 10 (Limitation of Liability)

  1. The Company is not liable for damages arising from causes not attributable to the Company, such as force majeure or unlawful acts of third parties.
  2. The Company does not guarantee any profits or effects expected by Members from using the Service.

Article 11 (Governing Law and Jurisdiction)

These Terms will be governed by and construed in accordance with the laws applicable at the Member’s place of residence or the Company’s place of incorporation, without regard to conflict‑of‑law rules. Any disputes arising out of or relating to these Terms shall be submitted to a competent court with appropriate jurisdiction.
